Terms of Service

These Terms of Service ("Terms") govern your access to and use of the RynoSuite platform, website, and services provided by Ryno Field Management Solutions ("RynoSuite," "we," "us," or "our"), accessible at rynosuite.com and app.rynosuite.com.

By accessing or using RynoSuite, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our services.

1 Acceptance of Terms

By creating an account, accessing the platform, or using any feature of RynoSuite, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using RynoSuite on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity as well as the individual user.

2 Description of Service

RynoSuite is a field service management platform that helps service businesses manage customer relationships, jobs, estimates, invoices, scheduling, team members, and related operations. Features may include but are not limited to:

• Customer and property record management
• Job scheduling and dispatch
• Estimate and invoice creation and delivery
• Payment processing through third-party providers
• SMS and email notifications to customers
• Team member management and assignments
• Optional integrations with third-party services

We reserve the right to modify, suspend, or discontinue features at our discretion, with reasonable notice where practical.

3 Eligibility and Accounts

You must be at least 18 years old and capable of entering into a legally binding agreement to use RynoSuite. By using our services, you represent that you meet these requirements.

You are responsible for:

• Providing accurate, current, and complete information during registration
• Maintaining the security and confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us promptly of any unauthorized access or security breach

You may not share your account credentials, transfer your account to another party, or allow others to use your account without authorization.

4 Subscriptions and Payment

RynoSuite offers subscription-based access to the platform. By subscribing, you agree to:

• Pay the applicable subscription fees as displayed at the time of purchase
• Provide accurate billing information and authorize recurring charges to your designated payment method
• Be responsible for all taxes associated with your subscription

Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date. You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period, and no refunds are provided for partial periods unless required by law.

We reserve the right to change subscription pricing with reasonable advance notice. Price changes will not affect your current billing cycle but will apply to subsequent renewals.

5 Acceptable Use

You agree to use RynoSuite only for lawful purposes and in accordance with these Terms. You may not:

• Use the platform to engage in illegal, fraudulent, or harmful activities
• Send unsolicited SMS, email, or other communications in violation of applicable laws (including TCPA, CAN-SPAM, or similar regulations)
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Upload or transmit malicious code, viruses, or any harmful software
• Attempt to gain unauthorized access to RynoSuite systems, other accounts, or related infrastructure
• Reverse engineer, decompile, or otherwise attempt to derive the source code of the platform
• Use the platform to harass, threaten, or harm others
• Use automated means (scrapers, bots) to access the platform without explicit written authorization
• Resell, sublicense, or redistribute RynoSuite services without our written authorization

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

6 Your Content and Data

You retain ownership of all data and content you upload to or create within RynoSuite, including customer records, job details, estimates, invoices, and related business information ("Your Content").

By using RynoSuite, you grant us a limited, non-exclusive license to process, store, and display Your Content solely for the purpose of providing the platform's features to you. We do not claim ownership of Your Content and will not use it for any purpose unrelated to providing our services.

You are responsible for:

• The accuracy, legality, and appropriateness of Your Content
• Obtaining all necessary consents and authorizations from your customers and team members before entering their information into RynoSuite
• Complying with all applicable privacy and data protection laws regarding the information you collect and process through RynoSuite
• Maintaining backups of any critical data, as we cannot guarantee data recovery in all circumstances

7 Third-Party Services

RynoSuite integrates with third-party services to provide certain features, including payment processing (Stripe), SMS messaging (Twilio), and optional integrations such as Google Calendar. Your use of these third-party services is governed by their respective terms of service and privacy policies. We are not responsible for the practices, performance, or availability of third-party services.

When you connect a third-party service to RynoSuite, you authorize us to access and exchange data with that service as needed to provide the integration's functionality. You may disconnect any integration at any time through your account settings or through the third-party service's permission controls.

8 SMS Messaging

RynoSuite enables you to send transactional SMS messages to your customers through our integration with Twilio. By using SMS features, you agree that:

• You will obtain proper opt-in consent from each customer before sending SMS messages, in accordance with TCPA and other applicable laws
• You will honor opt-out requests promptly and will not send messages to numbers that have opted out
• You will use SMS features only for legitimate transactional and operational purposes related to your service business (such as appointment reminders, job updates, and payment notifications)
• You will not use SMS features for marketing, promotional, or unsolicited communications
• You bear full responsibility for the content of SMS messages sent through your account and for compliance with all applicable laws

RynoSuite reserves the right to suspend SMS sending privileges or terminate accounts that violate these requirements.

9 Intellectual Property

RynoSuite, including its software, design, content, trademarks, logos, and all related materials, is owned by Ryno Field Management Solutions and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except for the limited right to use the platform as described herein.

You may not copy, reproduce, distribute, publicly display, or create derivative works based on RynoSuite without our express written permission.

10 Termination

You may terminate your account at any time through your account settings. Upon termination:

• Your access to the platform will end at the conclusion of your current billing period
• We may retain certain information as described in our Privacy Policy or as required by law
• You are responsible for exporting any data you wish to retain before termination

We may suspend or terminate your access immediately, with or without notice, if you violate these Terms, engage in fraudulent or illegal activity, or fail to pay applicable fees. In the event of termination by us for cause, no refunds will be issued.

11 Disclaimers and Limitation of Liability

RynoSuite is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

We do not guarantee that the platform will be available at all times, free of bugs or errors, or that data will never be lost. You acknowledge that you use RynoSuite at your own risk.

To the fullest extent permitted by law, RynoSuite, its affiliates, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the platform.

Our total liability for any claim arising from or related to these Terms or your use of RynoSuite shall not exceed the amount you paid to us for the services in the twelve (12) months preceding the claim.

12 Indemnification

You agree to indemnify, defend, and hold harmless RynoSuite, its affiliates, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Your use of the platform
• Your violation of these Terms
• Your violation of any third-party rights, including privacy, intellectual property, or other rights
• Your Content or any information you input into the platform
• Communications you send through RynoSuite, including SMS and email messages

13 Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of RynoSuite shall be resolved in the state or federal courts located in Citrus County, Florida, and you consent to the personal jurisdiction of those courts.

Before initiating any formal legal action, you agree to first contact us at support@rynosuite.com to attempt to resolve the dispute informally.

14 Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and notify you via email or a prominent in-app notice. Your continued use of RynoSuite after changes take effect constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you should discontinue use and may cancel your account.
